Shareholder Bio
Daniel J. Cross is the founder and sole shareholder of CLC. Before opening CLC, Mr. Cross practiced law in the San Diego office of Troutman Sanders/Ross, Dixon & Bell for close to 10 years. Before attending law school, Mr. Cross worked in the restaurant industry for more than 15 years.
Mr. Cross has focused his legal practice on helping individuals and businesses implement and execute their strategic plans and achieve their business objectives. He also actively represents a variety of public charities, religious organizations, trade associations and other nonprofit organizations.
Mr. Cross has assisted individuals and businesses in the following areas:
- Structuring, negotiating, and documenting complex joint venture arrangements for a variety of clients, including aggregate companies, alternative energy groups, finance and investment groups, real estate developers and property owners, manufacturers, self-storage facility companies and automobile dealerships.
- Structuring, negotiating, and documenting asset and stock acquisition and stock repurchases, large value asset purchase and sales, and other acquisitions.
- Serving as outside general counsel for a number of for-profit and nonprofit clients from a variety of industries, including alternative energy, aggregates, finance and investment, golf and resort, real estate, manufacturing, the automobile industry, environmental services, and industrial wireless technology.
- Advising clients on a wide array of general legal issues and business-related matters, including commercial arrangements and contracts, mitigation of potential legal liability and corporate governance.
- Representing clients in negotiating business transactions and preparing all types of contracts, including shareholder and voting agreements, management agreements, manufacture, distribution and supply agreements, transportation and services agreements, license agreements, security agreements and guaranties, and complex settlement agreements.
- Assisting start-up clients in various industries choose and form appropriate entity structures, identify sources of capital, and identify and plan for legal issues commonly faced by new and emerging businesses.
- Providing advice, preparing all documentation and filings, and ensuring compliance with SEC and state “Blue Sky” rules and regulations, in connection with exempt securities transactions.
- Providing general representation for a wide array of public charities, religious organizations, trade associations, and other nonprofit organizations including forming nonprofit entities, securing tax-exempt status, converting existing entities’ tax-exempt status, advising on nonprofit corporate governance and operations, ensuring compliance with public support tests and charitable solicitation rules and regulations, and dissolving nonprofit entities.
- Representing employers by providing advice on commonly encountered employment-related legal issues, assisting in developing company policies and compliance programs, and drafting various types of employment documentation, including confidentiality agreements, executive and non-executive employment agreements, independent contractor agreements, personnel supply agreements, retention agreements, termination agreements, and employee handbooks.
- Negotiating and preparing various real estate-related agreements, including development and development supervision agreements, easement agreements, property management agreements, purchase and sale agreements, leases, and listing agreements.
